executed contract
An executed contract is one in which all parties have fully performed their obligations and nothing remains to be done. A real estate purchase contract becomes executed after closing, when the deed has been delivered and the price paid. In everyday speech, "executed" is also used to mean signed, so read exam questions carefully. A contract that still has duties to perform is executory.
- Exam tip
- Executed means fully performed; executory means still to be performed. A signed purchase contract before closing is executory.
- Example
- Once the buyer pays and receives the deed at closing, the purchase agreement becomes an executed contract.
