Limited Agency (Utah)
Limited agency is Utah's term for representing both buyer and seller in one transaction. Before acting for both, the licensee must explain in writing to both parties that each may hire a separate agent, what will stay confidential, what will be disclosed, and when withholding information would become misrepresentation, then obtain written acknowledgments that each party waives undivided loyalty, absolute confidentiality, and full disclosure. Limited agency is prohibited when the licensee, or an entity the licensee is part of, is a principal. It can arise at the brokerage level.
- Exam tip
- 'Neutral and LCD': both parties waive Loyalty, Confidentiality, and Disclosure. Oral consent confirmed at closing is wrong; consent must be written and come first.
- Example
- A listing agent's sellers say they would take $20,000 less; he cannot tell his unrepresented open-house buyers, now limited agency clients, without the sellers' permission.
